Welcome to Salebrate. These Terms of Service (“Terms”) govern your access to and use of the Salebrate website, platform, and services (collectively, the “Services”) provided by Sellers AI Inc. and SalesGrid Limited (collectively, “Salebrate”, “we”, or “us”).

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use our Services.

1. Acceptance of Terms

By using our website or Services, you confirm that:

• If you are using the Services on behalf of a company, you have the authority to bind that company to these Terms.

2. Description of Service

Salebrate provides B2B market expansion services, including but not limited to:

• B2B prospecting data — company and decision-maker data sourced from leading commercial data providers.
• AI-powered GTM tools — AI agents for voice, conversation, content, workflow, review, and page generation.
• Co-managed go-to-market (GTM) services — end-to-end outreach execution including research, data mining, content creation, and lead delivery.
• Commercial data platforms — access to global business intelligence through TradeAtlas, RocketReach, and CompanyData.
• SaaS platform — website building, marketing automation, CRM, and workflow tools.

Specific service offerings, pricing, and deliverables are defined in separate service agreements or order forms. In the event of a conflict between these Terms and a service agreement, the service agreement prevails.

3. Use License

Subject to your compliance with these Terms, Salebrate grants you a personal, non-exclusive, non-transferable, non-sublicensable, revocable license to:

• Access and use the website for lawful business purposes.
• Use the Services in accordance with your subscription plan or service agreement.
• Download and print materials from the website for your own internal business use, provided that all copyright and proprietary notices are preserved.

This license terminates automatically if you breach any of these Terms.

4. Acceptable Use

You agree not to:

• Use the Services for any unlawful purpose, including but not limited to fraud, money laundering, or violations of applicable export or import laws.
• Send unsolicited commercial communications (spam) using data obtained from our Services.
• Scrape, harvest, or systematically extract data from our website or the platforms we provide access to, except as expressly permitted by your service agreement.
• Attempt to gain unauthorised access to any part of our Services, systems, or networks.
• Introduce malware, viruses, or any other malicious code to our website or Services.
• Use the Services to infringe the intellectual property rights, privacy, or other rights of any third party.
• Reverse engineer, decompile, or disassemble any software provided through the Services, except as permitted by applicable law.
• Use the Services in any manner that could damage, disable, overburden, or impair our servers or networks.

5. Intellectual Property

All content, features, and functionality of the website and Services — including text, graphics, logos, software, data compilations, and user interface design — are owned by Salebrate or its licensors and are protected by copyright, trademark, and other intellectual property laws.

The “Salebrate” name, logo, and related marks are trademarks of Salebrate. Other product and company names shown on our website are the property of their respective owners. Use of these names does not imply endorsement.

You retain ownership of any content you submit to us through the contact form or through your use of the Services. By submitting content, you grant us a non-exclusive licence to use that content solely for the purpose of providing our Services to you.

6. Third-Party Services

Our Services integrate with or provide access to third-party platforms, including:

• TradeAtlas — customs and trade data platform. Subject to TradeAtlas terms of use at TradeAtlas.com.
• RocketReach — decision-maker contact data platform. Subject to RocketReach terms of use at RocketReach.co.
• CompanyData — global company intelligence platform. Subject to CompanyData terms of use at CompanyData.com.
• Calendly — meeting scheduling service. Subject to Calendly terms of use at Calendly.com.

Salebrate is not responsible for the practices or content of these third-party services. Your use of third-party services is governed by their respective terms and privacy policies.

7. Disclaimers

The Services are provided on an “as is” and “as available” basis. To the fullest extent permitted by law, Salebrate disclaims all warranties, whether express or implied, including but not limited to:

• Implied warranties of merchantability and fitness for a particular purpose.
• Warranties regarding the accuracy, completeness, or reliability of data provided.
• Warranties that the Services will be uninterrupted, error-free, or secure.

Lead volume, conversion rate, and cost-per-lead (CPL) figures provided by Salebrate are planning benchmarks, not guarantees. Actual results depend on factors including but not limited to offer quality, market conditions, targeting accuracy, and sales follow-up effectiveness.

We do not warrant that any results described in our marketing materials or case studies will be achieved by you. Past performance does not guarantee future results.

8. Limitation of Liability

To the fullest extent permitted by applicable law, in no event shall Salebrate, its officers, directors, employees, or affiliates be liable for:

• Indirect, incidental, special, consequential, or punitive damages.
• Loss of profits, data, business, or goodwill.
• Any claim arising from your use of or reliance on the Services, except to the extent caused by our gross negligence or wilful misconduct.

Our total aggregate liability arising from or related to these Terms or the Services shall not exceed the amount you have paid to Salebrate in the twelve (12) months preceding the claim, or US$100, whichever is greater.

9. Indemnification

You agree to indemnify and hold harmless Salebrate, its officers, directors, employees, and affiliates from any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from:

• Your use of the Services in violation of these Terms.
• Your violation of applicable law or third-party rights.
• Any content or information you submit to our Services.

10. Governing Law

These Terms are governed by the laws of Canada and the Province of Ontario with respect to services provided by Sellers AI Inc., and by the laws of Hong Kong with respect to services provided by SalesGrid Limited.

Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the competent courts in Hamilton, Ontario, Canada (for Sellers AI Inc.) or Hong Kong (for SalesGrid Limited), as applicable.

11. Changes to Terms

We may modify these Terms at any time. When we do, we will revise the “Last updated” date at the top of this page. We encourage you to review these Terms periodically.

Your continued use of the Services after any changes constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using our Services.
